Terms of Service

These Terms of Service ("Terms") govern your access to and use of FlowState Pro (the "Service"), provided by Alpha Flux Limited ("Alpha Flux", "we", "us", "our"), a company registered in England and Wales (Company No. 16988236).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

FlowState Pro is a software-as-a-service platform providing market data analysis, statistical regime classification, historical pattern visualisation, and session bias analysis for futures markets. The Service is accessed through a web dashboard.

The Service is provided "as is" and "as available." We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

2. Account Registration

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials
• Be responsible for all activities under your account
• Notify us promptly of any unauthorised use of your account

You are responsible for ensuring that your use of the Service complies with applicable laws in your jurisdiction.

3. Subscription, Pricing, and Payment

3.1 Trial Period

New accounts may be offered a free trial period. The trial period and terms (including any payment method requirements) will be displayed at signup.

3.2 Subscription Fees

Following any trial period, continued access to the Service requires an active paid subscription. Current pricing is displayed on our pricing page and may be updated from time to time. Existing subscribers will be notified in advance of any price changes affecting their subscription.

3.3 Founder Pricing

Founder pricing, where offered, is available to a limited number of early users. Founder pricing is locked at the rate stated at the time of acceptance for the duration of continuous subscription. If a founder subscription is cancelled, founder pricing is forfeited and any subsequent subscription will be at standard pricing.

3.4 Payment

Subscriptions are billed monthly in advance through our payment processor (Stripe). By providing payment information, you authorise us to charge the subscription fee to your payment method.

If a payment fails, we may retry payment over a period of time. Continued failure to pay will result in suspension or cancellation of your subscription.

3.5 Currency and Taxes

Subscription fees are charged in your local currency where supported. Prices displayed include applicable VAT or local taxes where required.

3.6 Cancellation

You may cancel your subscription at any time through your account settings or by contacting billing@traderstackhq.com. Cancellation takes effect at the end of the current billing period; you will retain access until the end of the period you have paid for.

3.7 Refunds

We do not provide refunds for the current billing period. You may cancel future renewals at any time as described above.

In the case of technical failures of the Service lasting more than 24 consecutive hours, we may at our discretion provide credit or partial refund. Refund decisions are made on a case-by-case basis.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws
• Attempt to gain unauthorised access to the Service, other accounts, or related systems
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated systems (bots, scrapers, etc.) to access the Service in ways that violate our rate limits or terms
• Resell, redistribute, or sublicence access to the Service without explicit written permission
• Use the Service to develop competing products
• Share account credentials with other individuals (each account is for individual use)
• Use the Service in a manner that could damage, disable, or impair the Service for other users

We reserve the right to suspend or terminate accounts that violate these terms.

5. Intellectual Property

5.1 Our Intellectual Property

All content, software, algorithms, data analysis, methodologies, designs, trademarks, and other intellectual property associated with the Service are owned by Alpha Flux Limited or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.

5.2 User Content

If you submit feedback, suggestions, or other content to us, you grant us a non-exclusive, royalty-free, perpetual licence to use that content for the purpose of operating and improving the Service.

6. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• The information provided through the Service is accurate, complete, or current
• The Service will meet your specific requirements or expectations
• Any errors in the Service will be corrected

8. Limitation of Liability

To the maximum extent permitted by applicable law, Alpha Flux Limited shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, trading losses, loss of data, or business interruption, arising out of or in connection with your use of the Service.

Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

9. Indemnification

You agree to indemnify and hold harmless Alpha Flux Limited, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Trading decisions made by you in connection with use of the Service

10. Termination

10.1 Termination by You

You may terminate your account at any time by cancelling your subscription and contacting us to delete your data.

10.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Use the Service in ways that harm other users or the Service itself

10.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. We may retain certain data as required by law or for legitimate business purposes (see our Privacy Policy).

Provisions of these Terms that by their nature should survive termination (including limitations of liability, indemnification, dispute resolution) shall survive.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to users via email or prominent notice on the Service at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer in the European Union, you may have rights under EU consumer protection law that cannot be waived. Nothing in these Terms is intended to override such rights.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy and Risk Disclosure, constitute the entire agreement between you and Alpha Flux Limited regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

13.3 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

13.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights to a successor entity (e.g., in connection with a merger or sale of assets).
